How to Use the Bonterms Standard Online Cloud Terms

Overview:

The Bonterms Standard Online Cloud Terms (Version 1.0) are an industry-standard terms of service for a Cloud/SaaS product designed to be implemented on a provider’s website.

You implement the Standard Online Cloud Terms by incorporating a complete copy of the terms on your website along with introductory language and any other “Provider-Specific Terms” (as further explained below).

The Standard Online Cloud Terms are free to use under CC BY ND. You may use and display the Standard Online Cloud Terms on your website without charge, but you may not change the text in any way (except through Provider-Specific Terms).

How to Use:

See an example implementation below.
  1. Review the Online Cloud Terms with your lawyer.
  2. Prepare Provider-Specific Terms:
      • Introductory Language: this paragraph defines the parties, incorporates the Standard Online Cloud Terms and optionally titles the “Agreement” created between the parties.
      • Additional Terms and Attachments: add any Additional Terms (changes to the Standard Online Cloud Terms) or Attachments (like Support Policies, Security Measures or AUP).
        • We provide an example below, but you must have a lawyer assist you with this step of the process.
  3. Post the Provider-Specific Terms and exact copy of the Standard Online Cloud Terms to your website using the HTML Code Copy link here.
  4. Create your click to accept or other acceptance flow for the Agreement you created using the Standard Online Cloud Terms.
  5. Register with Bonterms for updates to the Standard Online Cloud Terms.

Important: Do Not Modify the text of the Standard Online Cloud Terms. Changing any element of the text of the Standard Online Cloud Terms as posted on your website is strictly prohibited. If you do change any of element of the Standard Online Cloud Terms, you will be in violation of the license under which we make these terms available to you and you must remove all references to “Bonterms”, the “Online Cloud Terms”, the Bonterms stamp logo and any other link or reference to Bonterms from your website.

    SAASLY TAX NAVIGATOR AGREEMENT

    BY ACCESSING OR USING THE SAASLY TAX NAVIGATOR, YOU AGREE TO THESE TERMS.

    Read these terms carefully as they create a legally binding agreement between you and Saasly.

    Saasly has adopted an industry-standard terms of service for SaaS/Cloud services.

    By accessing or using the Saasly Tax Navigator Service (“Cloud Service”), you (“you” or “Customer”) agree to this Agreement with Saasly, Inc. (“Saasly” or “Provider”) which consists of the Bonterms Standard Online Cloud Terms (Version 1.0) (“Standard Terms”) as modified and supplemented by the Provider-Specific Terms (each as set forth below). Capitalized terms not defined herein are defined in the Standard Terms. This Agreement is referred to as the “SaaSly Tax Navigator Agreement”.

    A. Introductory Language: The text above under the title "SaaSly Tax Navigator Agreement" is incorporated into this Agreement.

    B. Attachments:

    The following Attachments are incorporated into this Agreement:

    C. Additional Terms:

    The following additions to or modifications of the Standard Terms are incorporated into this Agreement:
    1. The following is added to the end of Section 6.3 (Disclaimers): “Provider has no responsibility for the accuracy of any output of the Cloud Service, including as to its completeness or accuracy. Use any output from the Cloud Service at your own risk. "
    2. Section 19.2 (Governing Law and Courts) is changed to state that the Governing Law is the laws of the State of New York and the Courts are the federal and state courts located in New York, New York.
    3. Notice Address for Provider: SaaSly, Inc., XXX Street, San Francisco, California, 94100 with an email copy to legal@saasly.com
