Welcome to the Bonterms® Logo Usage Policy. This policy is designed to ensure clarity and prevent confusion regarding the use of the “We Contract on Bonterms”, “We Sell on Bonterms” or “We Buy on Bonterms” logos (each, a “Bonterms User Logo”) which are trademarks of Bonterms. By using a Bonterms User Logo, you agree to adhere to the following guidelines:

1. Purpose of the Bonterms User Logos
The Bonterms User Logos are intended to indicate that the company uses or is willing to use Bonterms Standard Agreements in its business.

• You may use the Bonterms User Logos if you use or are willing to use any Bonterms Standard Agreement, including the NDA, Cloud Terms, SLA, PSA, DPA, Online Cloud Terms or Marketplace Transactions Agreement.

• You may use the Bonterms User Logos even if you require Additional Terms to use a Standard Agreement.

• You may use one or more of the Bonterms User Logos at the same time.

2. Correct Use of the Bonterms User Logos
The Bonterms User Logos must be displayed:

• in the form provided by Bonterms with no modifications, including maintaining the color, font, proportion, and design; and

• in a size and manner that is clearly visible but does not overshadow the user’s own branding.

Users should clearly state their own legal entity name, indicating that it is independent of Bonterms. For example, “XYZ Corp, an independent service provider, sells using Bonterms Cloud Terms.”

3. Prohibited Uses
The Bonterms User Logos must not be used in a manner that:

• implies Bonterms’ sponsorship, affiliation, or endorsement of the user’s company, products, or services beyond the use of a Bonterms Standard Agreement,

• misleads consumers about the nature of the relationship between the user and Bonterms; or

• in connection with any illegal, offensive, or harmful content or activities.

4. Attribution and Disclaimer
Where appropriate, include:

• a statement attributing the Bonterms User Logo to Bonterms, such as: “The ‘We Contract on Bonterms’ logo is a trademark of Bonterms, used under license”; and

• a disclaimer that the user is an independent entity and not an affiliate, partner, or representative of Bonterms.

5. Revocation of Permission
Bonterms reserves the right to review all use of the Bonterms User Logos and to revoke permission to use the Logos at any time if the use is found to be in violation of this policy.

Upon request from Bonterms, the user must immediately cease all use of the Bonterms User Logos.

6. Rights; No Transfer or Assignment
User acknowledges that the Bonterms User Logos are trademarks of Bonterms and that Bonterms reserves all rights in the Bonterms User Logos.

Use of the Bonterms User Logos does not grant any ownership rights in the Bonterms User Logos or in any other of Bonterms’ trademarks or logos, and cannot be transferred or assigned.

7. Indemnification
User agrees to indemnify and hold harmless Bonterms from and against any claims, damages, or expenses arising from the user’s use of the Bonterms User Logos in violation of this policy.
